The Accountant’s Role in M&A – Value-Added Services

AAFCPAs’ Business Transaction Advisory team will present an educational session on October 11th for Exit Planning Exchange (XPX) Greater Boston Chapter members, who include the finest merger/acquisition (M&A) and succession planning professionals in New England.

Jack Finning, CPA, CGMA, CBEC will be joined by a panel of AAFCPAs’ multi-disciplinary Transaction Advisory team members to share insights on how the firm enhances value for sellers in M&A transactions. This includes insights on:

  • Pre-transaction preparation – Assembling orderly books and records
  • Transaction structure – Stock or Asset Sale?
  • Tax minimization strategies
  • Nexus – When, where, how and to whom does it apply?
  • Optimizing sale proceeds
  • Tax representations and warranties review

We will discuss how we work with clients and their M&A advisory team to facilitate a smooth transaction process, maximize transaction proceeds, and minimize taxes.

Jack Finning
Jack has been serving AAF clients since 1981. Jack provides assurance, tax and business consulting services to a variety of closely-held businesses, as well as sophisticated, nonprofit organizations. He advises clients in the specialty areas of revenue recognition, executive compensation plans, and government contract compliance. Jack specializes in business transaction advisory services for both buyers and sellers of private companies. This includes due diligence, tax structuring and post-transaction integration. Jack oversees many of AAF’s employee benefit plan audits.

Kelly is a senior leader in AAFCPAs’ Commercial Tax practice. She advises individuals, partnerships, corporations, and trusts operating in multiple states and municipalities on opportunities to save tax dollars through advanced tax planning and risk mitigation. She enthusiastically assists AAFCPAs clients in identifying all location-specific tax incentives and credits which could have a major impact on business entities and their owners.
