Ciprian Barna, CPA, MST

Tax Partner

Ciprian is a leader in AAFCPAs’ Commercial Tax Practice providing highly coveted tax compliance and consulting, entity structuring, and business advisory solutions, with a focus on serving cannabis, healthcare, private equity, life sciences, and real estate. He supports AAFCPAs’ clients in successfully achieving key business life-cycle events and tax-efficient transactions.

Ciprian is well-known for his prolific tax and business strategies. He proactively communicates opportunities that may apply, including: state and federal tax credits and deductions; multi-state tax strategies; tax deferral methods; and multi-year tax planning. He remains deeply immersed in understanding continuously changing tax codes and the tax implications of emerging state and federal economic stimulus initiatives, including the Tax Cuts & Jobs Act, 2017, the CARES Act, 2020, and the Consolidated Appropriations Act, 2021. He is passionate about helping clients navigate through good and bad economic times and finding tax strategies that allow businesses and their owners to achieve short & long-term goals.

Ciprian has extensive experience serving the tax needs of private equity including advising funds, management companies, and portfolio companies. He has a deep understanding of how emerging companies are best formed, financed, grown, and/or positioned for an IPO transaction. He provides guidance to AAFCPAs clients on structuring investments and consults on the tax consequences of transactions.

As a leader in the firm’s burgeoning Cannabis Business Practice, Ciprian advises plant-touching businesses and investors on business and tax strategies to maximize stakeholder value. He provides strategic council on the interpretation and implementation of the constantly evolving world of federal and state recreational marijuana taxation, including compliance with IRC Sec. 280E and safe banking.

Prior to joining AAFCPAs, Ciprian gained over 20 years of diverse experience at Big 4 and national accounting & consulting firms. He earned his Master of Science in Taxation from Bentley University’s McCallum Graduate School of Business.
